GENERAL TERMS AND CONDITIONS

I. GENERAL TERMS

(a.) Registration, participation or use of this MegaMillions Naija platform is restricted to persons and/or individual residents situated in Nigeria.

(b.) Participants/Players on the MegaMillions Naija platform must be 18 (eighteen) years and above. We reserve the right to conduct verification checks on all information provided. In the event that our checks do not verify that you are 18 years or over, we are entitled to request proof of age. Players found to be below the age of 18 will immediately be disqualified and winnings accrued from any game so played shall be forfeited.

(c.) Products offered on the MegaMillions Naija platform is strictly for the personal entertainment of Players. The use of a platform for the illegal act(s) is prohibited and players found culpable will be permanently restricted until a genuine cause is shown and agreed to by the Company.

(d.) All activities on the MegaMillions Naija platform is subject to the applicable Nigerian Laws and the transactions utilised therein is wholly denominated in the Nigeria currency (Naira).

(e.) Any date and time indicated on the MegaMillions Naija platform are based on WAT (West African Time) unless stipulated otherwise.

(f.) MegaMillions Naija has the exclusive right to its name including domain name, trademarks, logos and other intellectual property used on its gaming platform. No Player or user of the platform is permitted to use, alter, distribute or modify such intellectual property; in whole or parts without the written consent of MegaMillion Naija. All measures including legal action will be taken to protect the intellectual property right of MegaMillions Naija to ensure compliance.

(g.) Any provision in the rules of participation found to be voidable or unenforceable by the competent authority shall be removed and not affect the validity of other provisions which remain binding and in force.

(h.)In line with responsible gaming, Players agree to only use funds they can afford to lose to fund and participate in the MegaMillions Naija.

(i.) Player agrees to notify us of any computation error or system malfunction that may occur in any of the games entered.

(j.) Player agrees to fully refund any fund or monies credited to Player account in error. Such Players shall immediately notify MegaMillions Naija of such error and hold the funds in trust until a request for a refund is made. Any winnings arising from such error shall be deemed invalid and returned to MegaMillions Naija.

(k.) Player agrees that subscription or participation in any game category does not guarantee to win.

(l.) Players are bound by the specific engagement rules of each game category offered on the platform and modification to such rules.

(m.) MegaMillions Naija reserves the right to cancel all or any winnings discovered to be obtained by any unfair schemes, malpractice, foul play, mischief or fraud.

(n.) Players shall be clearly informed of their potential prize at the time of selection; the prize money for each game is dependent on the specific category chosen by the player.

(o.) The minimum amount for a ticket /entry is N100 unless otherwise stated on the platform.

(p.) Player is solely responsible for payment of all taxes applicable to participation or entries on products/games offered on the platform and any tax payable as a result of all or any winnings. The Company shall not be liable for any Tax responsibilities deemed performable by the User.

(q.) The result of lotteries shall be available when the same is drawn by the host company (Country). Megamillions Naija has no influence in any capacity on the draw dates of the available lotteries on our platform and we shall not be liable for any delay, cancellation, merger or postponement of the draw dates at any period or for any reason or circumstance. The availability of result(s) shall be strictly based on the draw date of the host company irrespective of the initial publicised draw date on the website and the decision of the Host Company shall be final on issues related to drawing dates and release of draw results.

(r.) If in the event of a win of under N1m, you wish to stay anonymous, we would honour that regardless of the lottery, however, a win of over N1m will be announced to the public as proof of our transparency.

(s.) Failure to abide by these terms at any time could lead to sanctions including but not limited to disqualification and loss of winnings.

2. GAMES

“Foreign Interactive Games”: A nominated Game conducted by an Operator in a country outside the customer’s jurisdiction which is regulated by the Government of that country.“Foreign Game Interactive Entry”: The order submitted by MegaMillions Naija to the relevant Foreign Operator to purchase Interactive Gaming Tickets as a result of the receipt of an Order Form from the player and payment of the required charges relevant to Foreign Games that may be offered “Foreign Game Ticket”: Ticket in a Game purchased by MegaMillions Naija as a result of a Foreign Game Entry Game Entry”: An entry of interactive games is Order received from the Player via an Order Form.MegaMillions Naija will pay to you an amount in Naira equivalent to the winnings that MegaMillions Naija receives from playing the Foreign Games as requested by you. If you wish to place an order for an interactive game, you must complete an Order Form on the website by:

(i.) choosing the Order Form for the relevant Games;

(ii.) entering your chosen selections into each field for the interactive games for the relevant service offered by MegaMillions Naija;

(iii.) submitting the completed Order Form, and

(iv.) Paying the Price for the completed Order Form and thereby participating in the relevant Lottery Draw.The Order Form Price is displayed on the website at the time you submit the Order Form. The Order Form Price is subject to change from time to time, as displayed on the website and is subject to the number of games the player selected on the Order Form.Payment of the Order Form Price will be made in the Nigerian Currency (NAIRA).

3. PLAYERS

Players are visitors to the platform. In order to become a Registered Player, visitors are required to register for an Account on the platform. MegaMillions Naija reserves the right to refuse in its absolute discretion to complete registration for any prospective player for any reason. In accordance with the rules of our Regulatory licence and our Terms of Use, a person’s resident outside Nigeria is ineligible to apply. While MegaMillions Naija will use its best efforts to only offer registration of an Online Account in countries where it is legal to do so, it is the responsibility of the visitors to the website to ensure that they are not breaking any local laws by registering an account and utilizing our services.This Platform is not intended or designed for the use of individuals below the age of eighteen (18) years or any ineligible player. Should you be underage or otherwise considered to be an Ineligible Player you are prohibited from applying for and registering an Online Account. Should it come to our notice that a Registered Player is either under the age of 18 years or otherwise an Ineligible Player, we will immediately cancel the account of the underage player or the ineligible player who has used incorrect information to register with us. In such circumstances, issues with that underage player or Ineligible Play is addressed pursuant to Order Forms we receive from Players in accordance with the terms of the contract formed with the Player. The fact that Gaming Tickets is issued from an Order Form does not mean or imply that the customer is personally playing in the relevant Foreign Games which is matched to their Ticket.Should a Registered Player provide Bank card or banking information relating to a bank account held jointly with another party or parties, he/she accepts that Winnings won by him/her may be paid into that jointly held bank account and this will be a full legal discharge of MegaMillions Naija's legal obligation to pay the Registered Player any of the Winnings. MegaMillions Naija welcomes interaction and communication from Registered Players on our social medial sites. MegaMillions Naija reserves the following rights regarding Registered Players visiting those sites:

• Our customer service team may contact you by email, telephone or letter to discuss comments, issues, concerns or statements that you have made on those sites concerning MegaMillions Naija and/ or its products and services;

4. ONLINE ACCOUNT

In order to use services offered by MegaMillions Naija, it is required that Users create an Account and submit certain mandatory information to us in connection with that Account. When creating an account, Users must provide accurate and complete information. A Player upon registration on the platform is issued with log-in information specific to the Player at the time of registration. Log-in information shall be used to place orders for chosen lotteries and carry out deposit and withdrawal transactions from the registered Account.

You agree not to illegally create an Account for anyone else or use the Account of another. You are solely responsible for the activity that occurs within your Account, and it is your responsibility to maintain the security of your Account log-in details. You must notify MegaMillions Naija immediately upon any breach of security or unauthorized use of your Account. Every User’s Account contains a historical record of all transactions, personal details and payment information. Registered Players may change their password at any time via their account on the platform.

The Account is not to be operated as a bank account hence same shall not be seen as a Fund storage facility for immediate withdrawals without participating in the game. Monies deposited must be used to play and winning can therein be withdrawn as applicable.

5. SUBMITTING AN ORDER FORM

Players complete the required details and options contained on the Order Form for the relevant Games. On proper completion, the Order Form will be transferred to the Shopping Cart. Several completed Order Forms may be in the Shopping Cart at the same time and these will comprise the Game Order

6.SHOPPING CART

Players may select the details of their desired Order which will be automatically placed in the Player’s Shopping Cart. This is done by completing Order Forms.

For properly completed Order Forms in the Shopping Cart, The Shopping Cart does not have to be submitted for purchase at the end of a Player session on the website. The Player is encouraged to review the orders in the Cart to ensure accuracy and affordability. For reasons detailed later in these Terms of Use due to the nature of the services we offer to Players, Orders cannot be cancelled once they are submitted.

Therefore, in accordance with MegaMillions Naija’s commitment to responsible gaming, the Shopping Cart may be submitted at a later time to MegaMillions Naija for transactions to be finalized. This is effectively a “cooling off” period as protection against impulsive purchasing or human error. Order Forms can be added to or deleted from the Shopping Cart prior to submission of the Order. All of the current Order Forms in the Shopping Cart are submitted as one Game Order.

If the Shopping Cart contains Order Forms and has not been visited by the Player for a set time period (as determined and specified by MegaMillions Naija on the website) an automatic email reminder about the contents of the Shopping Cart may be sent to the Players notified address. Any Order Form that remains in the Shopping Cart past the Cut-Off Time for two relevant draws will be automatically deleted from the Shopping Cart.

Players submit a Game Order consisting of all Order Form(s) currently contained in their Shopping Cart. This is done by checking out the Shopping Cart. The Shopping Cart is validated to determine whether the Player has enough funds, to ensure that draws are not expired, spend limits not breached and where payment to the Online Account is required that it is of sufficient value. Any bank card payment is then transacted and payment is processed. If payment fails for any reason including rejection or service interruption, the checkout ends and the Player receives an error message. If the error is caused by the rejection of the transaction the Player can correct the payment method and retry the checkout.

Once any required payment has been transacted it will be credited to the Online Account and quarantined to the extent of the cost of the Order. The Order is processed in the database and this is audited for the Government Regulator.

Game Orders have Games committed on MegaMillions Naija server so that the Order is confirmed in the server database as a processed Order and the Player is directed to the checkout complete page. If for any reason there is a system error or failure the order transaction is rolled back to the Order pending stage and the Player will receive an on-screen error message, at which stage they will be able to retry the Order.

7. COMPLAINTS,QUERIES & DISPUTES RESOLUTION

a. At Megamillions Naija we are determined to ensure that all disputes are resolved amicably at the shortest possible time with the best interest of the Users and the Company collectively protected in a bid to ensure the continuation of the established and flourishing business relationship.

b. In the event of any complaint, query or dispute, the User shall follow the Dispute Resolution process and/or procedure below in the appropriate order as this will afford the Dispute Resolution Unit the opportunity to explore amicable resolution.

1. User messages via all our chatbox, or WhatsApp or places a call to the “Customer Support Team” as described in our “Contact Us” section stating the details of complaint about an immediate response and if dissatisfied, User can request complaint to be directed to a Supervisor and/or Manager who shall revert back on the Company’s decision as guided by our Terms of Use and records.

2. Where User is not satisfied with the final decision of the Company, (s)he shall proceed to lay complaints to Local Regulators in the state wherein the query is lodged.

3. If dissatisfied with the Local Regulators’ decision, the User may lay a complaint to the National Regulator in the industry.

4. Where the User is dissatisfied with all the outcomes of the above, (s)he shall explore a recognized medium of Alternative Dispute Resolution in the State wherein the compliant is lodged e.g Multi-Door, Mediation Centre or ADR.The above process shall be deemed incomplete where a User skips and/or omit to do any of the steps in the arranged sequence before proceeding to a higher step.

c. Paragraph (b) above shall be a condition precedent for all and any manner of query and/or complaints by any User before he/she can proceed to a court of law. Where the condition precedent is not fulfilled or is in partial fulfilment, an action at the court of law shall not be deemed to be ripe for such to be entertained.

d. No complaints with regard to a lottery played or funds settlement or resettlement will be heard by us if they are not raised through our Customer Service channels within Seven (7) days from the date of the event complained about.

e. If notwithstanding clause (b), a User initiates court proceeding, we reserve the right to apply to stay those proceedings pending the Users compliance with the condition precedent as set above.

f. Where the Court of law then finds in favour of the Company regarding any manner raised which had already been decided by any lawful body (including the company) before the court proceedings were initiated, the User shall reimburse the Company of all expenses (including all court professional, administrative and related fees) incurred by the Company in its defence of the said action.

Offensive or rude language, as well as malicious or damaging comments, will not be tolerated while contacting our staff or while discussing our products and services in any media, social network or forum. Any infringement of this policy will result in a suspension of the Account or in every additional action as may be required in order to ensure compliance.

8. LIABILITY

a. MegaMillions Naija shall not be liable to Players for damages, loss, or any disadvantage incurred due to technical glitches leading to disconnection or inconclusive use of MegaMillions Naija services. This includes the inability to play games, congestion on the system among other network-related issues.

b. MegaMillions Naija shall not be liable for criminal or civil action arising with respect to the source of funds placed on our platform.

c. MegaMillions Naija game rules may be revised, amended or modified in due course and Players accept to consistently check and agrees to be bound by the latest edition as stated on the platform.

d. MegaMillions Naija game rules are presented in the English language and any alteration due to translation to other languages shall not be a ground for dispute or claims by a Player.

e. MegaMillions Naija shall not be bound by verbal communication of its employees, agent, or affiliates that contradicts these terms or specific game rules of participation. Players agree to consistently ensure that they are abreast of any revision, amendments or exceptions to these Terms or game rules. The Company shall ensure that all latest editions are available on the platform.

f. MegaMillions Naija reserves the right to pause, remove, amend or alter any game from its service without prior notice to Players.

g. In any event where a group of Players are reasonably suspected to be acting as a syndicate or in collusion by maintaining several accounts under fictitious names or use of other players to the front for the syndicate; MegaMillions Naija reserves the right to terminate, modify or alter the affected product, cancel or refuse payment of winnings from such activities and close the suspicious player’s account.

9. ACCOUNTS CLOSURE

a. Players are required to correspond with Customer Care and indicate the reason for the closure of the account particularly if it relates to issues of gaming addiction.

b. Player account may be reopened on formal request/notification to Customer Care.

c. We reserve the right to close or suspend Player account at our discretion and without recourse to the player.

10. SELF-EXCLUSION

a. We offer a self-exclusion facility to help you if you feel that your gaming is out of control and you want our assistance to help stop. At your request, we will prevent you from using your account for a specific period as shall be determined by you and we will take reasonable steps to prevent the opening of new accounts.

b. Accounts that have been self-excluded are unable to be reactivated under any circumstances until the expiry of the self-excluded period. At the end of the period, you may recommence gaming by contacting our 'Customer Support Team' (email is not accepted) 24 hours after the waiting period has lapsed.

c. Our self-exclusion involves a joint commitment from us and you. We will take reasonable steps to prevent you from re-opening your Account or opening new accounts. However, during the period of your exclusion, you must not attempt to re-open your account or to try and open new accounts.

d. Having implemented reasonable checks and safeguards to ensure that whilst you are self-excluded you cannot open an account we cannot and will not be held liable to you or any third party if you are able to continue gaming on the Website.

d. To use our self-exclusion facility, please call our Customer Support Team with details of your account and the period that you wish the self-exclusion to apply. If a specific period is not given, we will exclude you for a period to be determined by the Company upon the requisite KYC verifications.

11. PRIVACY

a. We are committed to protecting and respecting player privacy and we shall strive to ensure due diligence when dealing with all personal information in connection with your participation or use of the MegaMillions Naija platform.

12. BOUSES & PROMOTION

a. We may at any time offer certain bonus/promotional packages subject to specific rules. The rules for bonus shall be read in conjunction with these Terms. Players must ensure that they read and understand any bonus package before participating as the Company shall not be liable for any failure to understand or read carefully any bonus Terms of Use or any attendant effect or result.

13. DEPOSITING AND WITHDRAWING

a. We do not charge for deposits made by bank transfer, debit or credit cards although you should note that some credit card companies categorize gaming transactions as ‘cash’ and may levy a fixed and/or interest charge from the date of payment.

b. We do not charge you for withdrawals to debit or credit cards or via bank transfer to bank accounts.

c. Your account should not and cannot be used as a banking facility and deposits should only be made with a view to using funds to play the available lotteries.

d. Account facilities are provided to you solely to enable you to play games. If you, for whatever reason, appear to be depositing and requesting for withdrawal, same will not be honoured and you may have your account suspended while this may also be grounds for reporting to the necessary authorities (see our responsibilities under the anti-money laundering regulations) or the account being closed.

d. MegaMillions Naija in our absolute discretion and without giving a reason, reserve the right to refuse to accept any type of payment presented to us irrespective of whether we have previously accepted such payment type from you or would usually accept that payment type from any User.

f. Any deposits that are subject to the bonus promotion offer will be regulated by the bonus promotion rules and is not available for withdrawal. The Customer can withdraw the available credit balance of the Account using the same payment method provided upon registration, or any other payment method adopted subsequently by the customer once the full and appropriate verification has been completed.

g. Withdrawals will be remitted only to the same account from which funds paid into the player’s account originated subject to the payment providers’ restrictions. No withdrawal will be authorized if it appears to be linked with transactions predominantly performed with the purpose of allowing the transfer of money from one payment method to the other.

h. In order to perform any transaction, Megamillions Naija may undertake any such verification checks as may be required by ourselves or by third parties (including, but not limited to, regulatory bodies) to confirm the legal ownership, the identity of the applicant and to comply with the relevant Anti-Money Laundering Provisions. Megamillions Naija may suspend the availability of any withdrawal method and/or the withdrawal function available in your account until the completion of the verification checks in relation to the validity of any of the documents you send and, in some limited circumstances, suspend any activity of your account it may deem necessary should it have reasonable grounds to suspect or establishes the prohibited or illicit activity.

i. The Account is a gaming facility and shall not generate interest as the deposits are made into the Account for the purposes of genuine play. Megamillions Naija is under no obligation to repay money to the User as of his/her debtor.

j. It is your responsibility as an Account Holder to ensure that your credit card or debit card issuer allows the card to be used for gaming purposes. Megamillions Naija does not accept responsibility for any action taken by your card issuer against you for use of the card to obtain gaming services.

k. No withdrawal shall be processed for any User that is in breach of any of our Terms and Conditions herein specified and the maximum indemnity owed by the Company to such User(s) shall be the amount stated on the face of all or any of the ticket(s) affected.

14. ANTI-MONEY LAUNDERING POLICY

a. We are a gaming and entertainment Company hence our platform is not a Banking facility that can be used for generating interest or to commit any form and/or manner of financial malpractice whatsoever inclusive of Money Laundering.

b. Any payment made into or through our system will undergo the necessary identity verification checks with thorough Customer due diligence as it concerns the legal age and personality of each customer.

c. We are registered with the Special Control Unit Against Money Laundering which is affiliated with the Economic and Financial Crimes Commission to report transactions that is either deemed suspicious or above the statutory limits of the laws regulating the same.

d. There is a Money Laundering Reporting Officer saddled with the responsibility of liaising with the sales and finance team to report such manner of transaction that fall within the investigative scope of the money laundering regulations.

e. Key officers are regularly trained on the new trends to combat money laundering and developing new scopes and mechanisms to tackle the same.

f. Consequently, depositing without playing the games and requesting for withdrawal will breach the money laundering policies while personal information may be required for verification of each registered User for regulatory purposes.

15. LINKS FROM/ON OUR WEBSITE

a. Where our Website contains links to other websites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of these sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them or their use of any information they may acquire about you (including personal data).

b. A link from our Website does not constitute an endorsement by us of the use of that link, the company or organization behind that link or the contents of the website reached using that link.

16. RESTRICTED TERRITORIES

a. We have restrictions in regards to opening accounts and taking games played from residents outside Nigeria.

b. We reserve the right to request proof of residence from you if you wish to use credits cards issued in restricted territories to pay for transactions. It is your responsibility to comply with your own local, national or state laws that relate to gaming prior to registering with us.

c. No winnings (mini or jackpot) shall be paid to you in respect of any products or services used whilst you are located within any jurisdictions where gaming is not permitted.

c. The availability of the Website does not constitute an offer, solicitation or invitation by us for the use of gaming or other services in any jurisdictions in which such activities are prohibited by law. Under no circumstances will we be liable for any breach of state or country law that may occur as a result of your usage of the Website.

17. NO WARRANTY

a. We will endeavour to provide the Website using our reasonable skill and care. We make no further warranty or representation, whether express or implied, in relation to the Website. All implied warranties or conditions of satisfactory quality, fitness for purpose, completeness or accuracy are hereby excluded to the fullest extent permitted by law.

b. We make no warranty that the Website will meet your requirements or will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Website or the server that makes it available are free of viruses or bugs or represents the full functionality, accuracy, reliability of the materials or as to results or the accuracy of any information obtained by you through the Website.

c. In the event of systems or communications errors relating to the generation of random numbers, settlement or other elements of the gaming services, we will not be liable to you as a result of any such errors.

d. Mega Millions Naija shall make reasonable effort to ensure the accuracy and efficiency of its website, Mobile App and other services. However, in the event of a system error/malfunction, the information or detail as provided in the official records of the Host Company will stand as the final decision.

e. Mega Millions Naija shall not be responsible for any loss, claims or disadvantage incurred by the player for reason of such system malfunction.

f. Player agrees that where a case of system error is found to have occurred during the use of Mega Millions Naija website, Mobile App or other platforms the only remedy would be a refund of the amount paid for the purchase of the Ticket.

Please acknowledge and confirm that the content of these terms and conditions are clear and unambiguous and its acceptance is a prerequisite to account registration.
