GENERAL TERMS AND CONDITIONS

1. INTRODUCTION:

a) The Website is operated by International Gaming and Entertainment Limited ("MegaMillions Naija" or "we" or "our" or "us" and variations of the same), a company duly registered under the laws of Nigeria, with business registration RC: 1799483.

b) By using and/or visiting any section (including sub-domains) of the megamillionsnaija.com website or any other websites or applications that we own (the "Website") and/or registering on the Website, you agree to be bound by:

(i) these Terms and Conditions or Terms of Use;

(ii) our Privacy Policy;

(iii) the Rules applicable to the national and international lotteries and products;

(iv) any other terms and conditions available in the MegaMillions Naija pages, MegaMillions Naija publications frequently made with regards promotions, bonuses and special offers which may be made accessible on occasion (together, the "Terms of Use").

c) Users are advised to read the Terms carefully before proceeding to use our website or engage our services. The Terms shall also apply to all gaming via mobile devices and Applications including the USSD Application/Channel, downloadable applications to a mobile device (as if references to your use of the website were references to your use of our USSD channel and/or mobile device gaming Applications)

d) MegaMillions Naija may intermittently alter these Terms for numerous reasons which may include compliance with regulatory requirements or simply exploring innovative ways to effectively serve Users. Users shall be promptly notified of all such alterations via publications on the Website. If any change appears to be unacceptable to you, you may opt to discontinue using the Website and/or close your account. In the event that you choose to continue using the Website after the date on which the changes to the Terms come into effect, you will be deemed to have accepted those changes.

e) "User" in this Terms and Conditions refers to "Player", "you" and "your" refers to you, the private person accessing any part of the Website; registering an Account and/or engages to use any of the Services offered by MegaMillions Naija.

2. GENERAL TERMS

a) This platform is intended for individuals who have attained legal capacity. Hence, Participants/Players on the MegaMillions Naija platform must be of legal age that is 18 (eighteen) years and above. In the event where there is reasonable suspicion as to any information provided, we reserve the right to conduct verification checks on all information provided whence we may request for proof of age. Players found to be below the age of 18 shall have their accounts banned and will immediately be disqualified, consequently, all winnings accrued shall be forfeited.

b) Products offered on the MegaMillions Naija platform are strictly for the personal entertainment of Players. MegaMillions Naija shall not be held liable for any attempted use of our services in any manner not intended by us. Hence the use of

the platform for any illegal act(s) is prohibited and players found culpable will be permanently banned subject to the discretion of MegaMillions Naija.

c) All activities on the MegaMillions Naija platform are subject to the applicable Nigerian Laws and all transactions utilised therein is wholly/only denominated in the Nigerian currency (Naira).

d) Any date and time indicated on the MegaMillions Naija platform are based on WAT (West African Time) unless stipulated otherwise.

e) The Terms and Conditions contained herein represent the final agreement between MegaMillions Naija and Players and supersedes all prior arrangements, representations and agreements.

3. ACCESS AND USE

a) We hereby grant you access to use our Website, provided that you comply strictly with these Terms and all applicable laws. In the course of using our website, Players shall not;

(i) alter, copy or modify our website in whole or part, without express written authorisation;

(ii) by an act or omission distort, disrupt or otherwise interfere with the operation of the servers or networks connected to the website;

(iii) use the Website for the perpetration of fraud

(iv) use the Website for deceptive purposes; and/or

(v) circumvent, disable or otherwise interfere with security-related features of the Website.

Registration, participation or use of this MegaMillions Naija platform is restricted to persons and/or individual residents in Nigeria. Where there is doubt as to the residence of a User, we reserve the right to request proof of residence from you. Consequently, we have placed the following restrictions in respect to registration accounts of residents outside Nigeria:

(i) if you wish to use credit cards issued in the restricted territories to pay for transactions. It is your sole responsibility to comply with the local national or state laws that relate to gaming prior to registering with us;

(ii) no winning (mini or jackpot) shall be paid to you in respect of any products or services used whilst you are located within any jurisdiction where gaming is not permitted;

(iii) the availability of the Website does not constitute an offer, solicitation or invitation by us for the use of the gaming or other services in any jurisdiction in which such activities are prohibited by law; and

(iv) under no circumstances will we be liable for any breach of state or country law that may occur as a result of your usage of the Website.

4. ONLINE ACCOUNT:

a) In order to engage and enjoy the services offered by MegaMillions Naija, Users are required to create an Account and provide accurate and l mandatory information as may be required including but not limited to full name, date of birth, residential address, contact e-mail and personal telephone number. The Account is provided

to you solely to enable you to use the Services and pursuant to this Terms and Conditions.

b) Where any information provided by a Player is discovered to be false, MegaMillions Naija may place a ban on such Player's account; refuse or withhold payments.

c) MegaMillions Naija reserves the right of refusal to register your Account with or without cause notwithstanding any provisions contained herein.

d) Bank Accounts registered by a User in the course of account creation must be operated by a Nigerian licensed Bank and be registered in the User's name.

e) In order to register an Account you represent, warrant and agree that:

(i) you are 18years old and above;

(ii) the information and personal details provided are true and correct;

(iii) you have a valid bank account, credit or debit card or alternative payment method that matches the name on each of your ticket orders.

(iv) you are not acting in the interests or on behalf of any third party;

(vi) you are legally capable of entering into a binding contract, including these Terms of use and subsequent game play.

(vii) you are not utilizing proceeds of any criminal activity.

f) In the event that you have breached any of the representations and warranties MegaMillions Naija reserves the rights to:

(i) cancel any game played;

(ii) withhold any winnings that may otherwise be payable in respect of such game played

(iii) place a ban on the Account; and

(iv) refer the matter to the appropriate regulatory authority.

g) Upon registration of an Account by a User with MegaMillions Naija the user consents that we are entitled to conduct verifications on information supplied wherein the user may be requested to provide further information as we require in connection to such verification checks. Hence, MegaMillions Naija reserves the right to engage the expertise of a third party to perform verification checks.

h) Further to Clause 2(f) above, MegaMillions Naija reserves the right to suspend or restrict the use of the Account and/or any other services until such time the verification checks are satisfactorily concluded. In the event that the check is not successful or if the information provided is deemed false or inaccurate, MegaMillions Naija reserves the right to ban such account, invalidate any game played on the Account and deem the balance deposit in such Account forfeited.

i) A Player upon registration on the platform is issued with log-in information specific to the Player at the time of registration. Log-in information shall be used to place orders for chosen lottery games and carry out deposit and withdrawal transactions from the registered Account. Every User's Account contains a historical record of all transactions, personal details and payment information.

j) Players are solely responsible for the activity that occurs within your Account, and it is your responsibility to maintain the security of your Account log-in details. MegaMillions Naija shall not be liable for any claims in the event that the Player divulges, shares or loses his/her username, password, account number or other personal details.

k) The above notwithstanding, Players may change their password at any time via their Account on the platform.

l) You must notify MegaMillions Naija immediately upon any breach of security or unauthorized use or access of your Account.

m) Accounts registered on the MegaMillions Naija platform are not to be operated as bank accounts and shall not be regarded as an interest yielding account hence registered accounts shall not be seen as a Fund storage facility for immediate withdrawals without participating in the game. Monies deposited must be used to play and winning can then be withdrawn as applicable.

n) Users are prohibited from registering and/or operating multiple accounts at any point in time. Where MegaMillions Naija reasonably believes that a user is operating multiple accounts in contravention with the provisions of these terms, the duplicate Accounts shall be closed and any deposit contained in such Account shall be forfeited. Consequently, any game played with the duplicate account(s) shall be declared void and the winning payment shall be withheld.

o) You are not permitted to buy, sell, or transfer your Account to another user nor may you acquire or accept a transfer of another registered MegaMillions Naija Account from a third party.

p) Where it is reasonably believed, that a User have breached the provisions encapsulated in these Terms and Conditions, including any terms and conditions applicable to any specific game, bonus or promotion, or actual or suspected prohibited conduct leading to collusion or fraud or activity aimed at defrauding MegaMillions Naija, or there has been irregular activity on the Account, MegaMillions Naija may do all or any of the following:

(i) suspend your Account for a period as may be determined by MegaMillions Naija.

(ii) restrict you from withdrawing or making deposits in the Account; (iii) prevent you from accessing your Account; and or (iv) terminate your Account.

q) Further to 4(p) above, MegaMillions Naija may exercise the power of discretion to:

i. Close an existing account without recourse to the User. In such an instance all due contractual obligations shall be performed;

ii. Request for further particulars to verify satisfactorily,

• details on your personal data provided in the course of registration on the platform;

• authorization to use a certain method of payment. Documentation required may include, a valid means of identification, statements of account, receipt of utility bills, pay-slip inter alia.

iii. Confiscate funds available in an account and/or resile from an obligation, where the provisions of these Terms have been violated;

iv. Monitor your gameplay and transaction activity;

r) MegaMillions Naija shall not divulge personal data of players stored in its database on to third parties unless in accordance with the terms set out herein. Consequently, MegaMillions Naija may divulge the details of players to the appropriate authorities on the allegation of fraud, prize manipulation or whenever so required by a competent Court of law.

s) Where Account is suspected to be used to perpetrate any fraudulent or criminal or dishonest activity, or otherwise has been flagged by an appropriate body or authority, the User shall indemnify and shall be liable to pay MegaMillions Naija, on demand, all cost, charges or losses sustained or incurred by MegaMillions Naija (including any direct, indirect or consequential losses, loss of profit and loss of reputation) arising directly or indirectly from the user's fraud, dishonesty or criminal action.

5. ACCOUNT CLOSURE/TERMINATION:

a) MegaMillions Naija reserves the right to close or suspend a User's account at our discretion and without recourse to the player. An account may be terminated on the any afore- mentioned grounds stated in this Terms and Condition including but not limited to:

i. Registration of an account by a minor that is below 18 years;

ii. Furnishing false and inaccurate information to MegaMillions Naija;

iii. Registering an Account on behalf of a third party;

iv. Where it is reasonably believed that you have breached the Terms and Conditions, including any terms and conditions applicable to any specific game, bonus or promotion, or actual or suspected prohibited conduct leading to collusion or fraud or activity aimed at defrauding MegaMillions Naija.

v. Where there has been irregular activity on the Account.

vi. For any legal reasons,

b) Where an account is terminated, MegaMillions Naija reserves the right to withhold the funds in such Account pending when any investigations on the said Account is concluded.

c) Where a User wilfully opts to close an account, the User is required to correspond with our Customer Support Team and indicate the reason for the closure of account particularly if it relates to issues of gaming addiction.

d) Where a User decides to reopen a closed account, such closed account maybe reopened on formal request/notification to Customer Care.

e) Any query on an account by the User, should be forwarded to MegaMillions Naija customer support team as soon as possible. You would be required to provide all relevant information that would enable us resolve the issue.

f) MegaMillions Naija shall not be liable to you if your Account is terminated for any reason. In the event of Account termination, your sole recourse shall be payment of any then valid uncontested Account balance, and MegaMillions Naija shall incur no other liability.

6. SELF-EXCLUSION:

a) We offer a self-exclusion facility to help you if you reasonably believe that your gaming is out of control and you require our assistance to help suspend your gaming activities. At your request, we will prevent you from using your account for a specific period as shall be determined by both parties.

b) Our self-exclusion involves a joint commitment from us and you. We will take reasonable steps to prevent you from re-opening your Account or opening new accounts. However, during the period of your exclusion, you are advised not to attempt to re-open your account or to try and open new accounts.

c) To use our self-exclusion facility, please call our Customer Support Team and furnish us with details of your account as may be required and the period that you wish the self-exclusion to apply. If a specific period is not given, we will exclude you for a period to be determined by MegaMillions Naija upon the requisite "Know Your Customer" (KYC) verifications.

d) Accounts that have been self-excluded are unable to be reactivated under any circumstances until the expiry of the self-excluded period. At the end of the period, you may recommence gaming by contacting our 'Customer Support Team' in a manner as may be determined by us 24 hours after the waiting period has lapsed.

e) Having reasonably implemented mechanisms to restrain a user from gaming during the period of self-exclusion, s you cannot open an account, hence we shall not be liable to you or any third party if you are able to continue gaming on the Website.

b) We do not charge you for withdrawals to debit or credit cards or via bank transfer to bank accounts.

c) Your account shall not and cannot be used as a banking facility and deposits may only be advanced with a view to using funds to play the available lotteries.

d) Account facilities are provided solely to enable you to participate in gaming and explore all other services provided by us. If it reasonably appears to us that your account is operated as a bank, that is to be depositing and requesting for withdrawal without a genuine intention to play, same will not be honoured and you may have your account suspended; have your account reported to the necessary regulatory authorities or ultimately have the account permanently closed. f) The User shall not attempt any charge-backs, reversals or attempt to cancel any previously made deposits into the Account. If we incur any charge-backs, reversals, or other charges on your Account, we reserve the right to charge you for and/or set off the applicable amounts from your Account balance.

g) Where a deposit in your account is made using a payment method i.e. bank account credit or debit card that is not registered in your name, MegaMillions Naija may without limit to our right, request additional information or documentation necessary to show that you are authorized to use the said payment method. In the event that you did not have the permission or authorization to use another person's payment method to deposit fund in your Account, MegaMillions shall exploit remedies available to us by this terms and conditions.

h) Any deposits that are subject to the bonus promotion offer will be regulated by the bonus promotion rules and is not available for withdrawal. Players can withdraw the available credit balance of the Account using the same payment method provided upon registration, or any other payment method adopted subsequently by the customer once the full and appropriate verification has been completed.

i) Withdrawals will be remitted only to the same account from which funds paid into the player's account originated subject to the payment providers' restrictions. No withdrawal will be authorized if it appears to be linked with transactions predominantly performed with the purpose of allowing the transfer of money from one payment method to another.

k) The Account is a gaming facility; therefore, deposits shall not generate or accrue any interest as the deposits are made into the Account for the purposes of genuine play. MegaMillions Naija is under no obligation to repay money to a User as his/her debtor.

l) As a User you have the sole duty and responsibility to ensure that your credit card or debit card issuer allows the card to be used for gaming purposes. n) Except as expressly stated, Players consent that any Stake or payments made to MegaMillions Naija in respect to the use of the website and any Services offered by us are non-refundable. However, if a Player reasonably believes that there has been an error in an amount charged, such Player may request for a refund by contacting our Customer Support Team and providing the necessary information as may be required to adequately resolve the error. If we, discover that an amount has been wrongfully charged we shall refund you that amount.

8. ANTI-MONEY LAUNDERING:

a) Users agree to engage our services and abide by the provisions of the terms and conditions stated herein, hence our platform shall be used in a manner as provided by the laws of the Federal Republic of Nigeria and shall not be used to commit any form and/or manner of financial malpractice whatsoever inclusive of but not restricted to Money Laundering.

b) Any payment made into or through our system will undergo the necessary identity verification checks with thorough Customer due diligence as it concerns the legal age, personality and ancillary matters as maybe determined from time to time by MegaMillions Naija.

c) Suffice to say that, depositing without playing the games and requesting for withdrawal will be considered a breach of the money laundering policies and personal information may be required for verification of each registered User for regulatory purposes.

d) We are registered with the Special Control Unit Against Money Laundering which is affiliated with the Economic and Financial Crimes Commission hence, we are obligated to report transactions that are either deemed suspicious or exceed the statutory limits in the laws regulating the same.

e) In furtherance of our obligation to the Special Control Unit Against Money Laundering, there exists a Money Laundering Reporting Officer whom is saddled with the responsibility of liaising with the sales and finance team to report any transaction that falls within the investigative scope of the money laundering regulations.

f) Germane to the above, key officers are regularly trained on the new trends to combat money laundering and developing new scopes and mechanisms to tackle the same.

9. GAMES:

a) A User shall be restricted from participating in a game or making a subscription unless there are sufficient funds in the Account of the Player. It is your sole responsibility to review and understand the Terms and conditions of the website and any other terms of play applicable to your game of choice on the MegaMillions Naija website.

b) "Foreign Interactive Games": These refer to the games which are open to be played using our website. These games are conducted by Operators in a country outside the customer's jurisdiction which is regulated by the Government of that country.

c) "Foreign Game Interactive Entry": This is the order submitted by MegaMillions Naija to the relevant Foreign Operator to purchase Interactive Gaming Tickets as a result of the receipt of an Order Form from the player and payment of the required charges relevant to the Foreign Games that may be offered.

d) "Foreign Game Ticket": This is the Ticket in a Game purchased by MegaMillions Naija as a result of a Foreign Game Entry.

e) "Game Entry": An entry of interactive games is Order received from the Player via an Order Form. The fact that Gaming Tickets is issued from an Order Form does not mean or imply that the user is personally playing in the relevant Foreign Games which is matched to their Ticket.

f) MegaMillions Naija shall pay to you an amount in Naira equivalent to the winnings that MegaMillions Naija receives from playing the Foreign Games as requested by you, MegaMillions Naija shall reserve the right as to the exchange rate applicable which shall be dependent on the peculiarity of each situation. Such winnings shall be subject to deductions covering taxation and commission at the rate of 10% which is payable to MegaMillions Naija. If you wish to place an order for an interactive game, you must complete an Order Form on the website by:

(i) choosing the Order Form for the relevant Games;

(ii) entering your chosen selections into each field for the interactive games for the relevant service offered by MegaMillions Naija;

(iii) submitting the completed Order Form, and

(iv) Paying the Price for the completed Order Form and thereby participating in the relevant Lottery Draw.

g) The Order Form Price is displayed on the website at the time you submit the Order Form. The Order Form Price is subject to change from time to time, as displayed on the website and is subject to the number of games the player selected on the Order Form. Payment of the Order Form Price will be made in the Nigerian Currency (NAIRA).

h) Shopping Cart: Players may select the details of their desired Order which will be automatically placed in the Player's Shopping Cart. This is done by completing Order Forms.

i) Submitting an Order Form: Players are required to provide the required details and options contained on the Order Form for the relevant Games. On proper completion, the Order Form will be transferred to the Shopping Cart. The Shopping Cart may contain numerous completed Order Forms at the same time which will comprise the Game Order.

j) For properly completed Order Forms in the Shopping Cart, the Shopping Cart does not have to be submitted for purchase at the end of a Player session on the website.

However, Payers are encouraged to review the orders in the Cart to ensure accuracy and affordability. Take Notice due to the nature of the services we offer to Players, Orders cannot be cancelled once they are submitted. Therefore, in accordance with MegaMillions Naija's commitment to encourage responsible gaming, submission of the Shopping Cart may be postponed and done within a reasonable time to MegaMillions Naija for transactions to be finalized. k) Prior to the final submission of the Order, Order Forms may be added or deleted from the Shopping Cart. All Order Forms contained in the Shopping Cart shall upon submission be deemed to be one Game Order.

l) If the Shopping Cart contains Order Forms which are left unattended by a Player for a period as may be determined and specified by MegaMillions Naija on the website an automatic email reminder about the contents of the Shopping Cart may be sent to the Player's notified address. Any Order Form that remains in the Shopping Cart past the Cut-Off Time for two relevant draws will be automatically deleted from the Shopping Cart.

m) The Shopping Cart is designed to determine whether the Player possesses sufficient funds, to ensure that draws are not expired, spend limits not breached and where payment to the Online Account is required that it is of sufficient value. Any bank card payment is then transacted and payment is processed. Where payment fails for any reason including rejection or service interruption, the checkout ends and the Player receives an error message. If the error is caused by the rejection of the transaction, the Player can correct the payment method and retry the checkout.

n) Once any required payment has been transacted it will be credited to the Online Account and quarantined to the extent of the cost of the Order. The Order is processed in the database and this is audited for the Government Regulator.

r) A Player is not limited to one group at a time and may buy many shares under a group ticket to increase the percentage of earnings, rewards or winnings.

s) Where all the shares in a Group Ticket is not sold out, MegaMillions Naija shall purchase the unsold shares without extra cost to the group members.

t) Details of the transactions and games played can be viewed by visiting your Account.

10. PLAYERS:

a) Players are visitors to the platform. In order to become a Registered Player, visitors are required to register for an Account on the platform. MegaMillions Naija reserves the right to refuse in its absolute discretion to complete or approve the registration for any prospective player with or without any justification.

b) In accordance with the rules of our Regulatory licence and our Terms of Use, a person resident outside Nigeria is ineligible to apply.

c) While MegaMillions Naija will use its best efforts to only offer registration of an Online Account in countries where it is legal to do so, it is the responsibility of the visitors to the website to ensure that they are not breaking any local laws by registering an account and utilizing our services.

d) MegaMillions Naija platform is not intended or designed for the use of individuals below the age of eighteen (18) years or any person considered ineligible by any extant law. Should you be underage or otherwise considered to be an Ineligible Player, you shall be prohibited from applying for and registering an Online Account. If it comes to our notice that a Registered Player is either under the age of 18 years or otherwise an Ineligible Player, we will immediately cancel the account of the underage player or the ineligible player who has used incorrect information to register with us in such circumstances, issues with that underage player or Ineligible Play is addressed pursuant to Order Forms we receive from Players in accordance with the terms of the contract formed with the Player.

e) In line with responsible gaming, Players are advised to only use funds they can afford to lose to fund and participate on the MegaMillions Naija platform.

f) Players agree to notify us of any computation error or system malfunction that may occur in any of the games entered.

g) Players agree to fully refund any fund or monies credited to Players' account in error. Such Players shall immediately notify MegaMillions Naija of such error and hold the funds in trust until a request for a refund is made. Any winnings arising from such error shall be deemed invalid and refunded to MegaMillions Naija.

h) Players agree that subscription or participation in any game category does not guarantee to win.

i) Players are bound by the specific engagement rules of each game category offered on the platform and modification to such rules.

j) Players shall be clearly informed of their potential prize at the time of selection; the prize money for each game is dependent on the specific category chosen by the player.

k) Player shall be solely responsible for payment of all taxes applicable to participation or entries on products/games offered on the platform and any tax payable as a result of all or any winnings. The above notwithstanding, MegaMillions Naija shall deduct Withholding Tax from all or any winnings and remit to the appropriate tax authority.

11. WINNINGS:

a) The result of lotteries shall be available when the same is drawn by the host company (Country). MegaMillions Naija has no influence in any capacity whatsoever on the draw dates of the available lotteries on our platform and we shall not be liable for any delay, cancellation, merger or postponement of the draw dates at any period or for any reason or circumstance.
